1. Agreement to these terms

These Terms and Conditions (“Terms”) are a legal agreement between you and S.E.E.K. Arizona, LLC concerning SeekCal. By creating an account, joining a workspace, connecting an integration, using an API, or submitting a booking, you agree to these Terms and the SeekCal Privacy Policy.

If you use SeekCal for an organization, you represent that you have authority to bind that organization. In that case, “you” includes the organization. If you do not agree, do not use SeekCal.

2. The SeekCal service

SeekCal provides multi-user calendars, appointment types, availability, booking links and embeds, team scheduling and distribution, recurring appointments, contact coordination, calendar and CRM synchronization, meeting-link creation, notification workflows, APIs, webhooks, and an MCP connection for authorized automation.

Features may depend on third-party services and on the permissions, configuration, and data supplied by you or your organization.

3. Eligibility and authority

You must be at least 18 years old and legally capable of entering this agreement to administer a SeekCal account or workspace. A minor may participate in an appointment only through a parent, legal guardian, or authorized professional where appropriate. You may submit information about another person only when you are authorized to do so.

4. Accounts and workspace roles

You must provide accurate information, keep it current, maintain the confidentiality of passwords and access links, and promptly report suspected unauthorized access. You are responsible for activity under your account unless caused by our breach of these Terms.

Workspace owners and administrators control membership, roles, calendars, integrations, API access, and other settings. They may access workspace records and may enable, disable, or remove users. Members should direct role and workspace-access questions to their organization.

5. Bookings and communications

A booking request is subject to availability and confirmation. You are responsible for reviewing the date, time, time zone, recurrence, location, host, guest information, and appointment status. SeekCal does not set a provider’s cancellation, rescheduling, attendance, or payment policies; those are established by the appointment provider.

When you provide an email address or phone number, you authorize transactional communications reasonably related to the appointment, such as confirmations, reminders, changes, cancellations, and meeting links. Messages may be delivered through the calendar owner’s connected HighLevel account or another configured provider. Message and data rates may apply. Reply STOP to supported text messages to opt out; opting out does not cancel an appointment.

6. Connected services

You may authorize SeekCal to interact with Google Calendar and Google Meet, Zoom, HighLevel, or other supported services. You authorize SeekCal to access, synchronize, create, update, or delete data in those services only to perform the features you enable and within the permissions you grant.

You are responsible for having valid third-party accounts, complying with their terms, choosing appropriate calendars and permissions, and reviewing automated changes. Third-party services are operated independently and may change, delay, reject, or discontinue functionality. You can disconnect an integration, but information already stored by the third party may remain there.

7. APIs and automation

Workspace owners may issue private credentials for SeekCal’s REST API, webhooks, or MCP server and may connect an administrative agent such as Hermes. API keys and integration secrets must remain server-side, may be used only for the authorized workspace, and may not be shared publicly.

You are responsible for instructions, actions, messages, and data changes initiated by your credentials, agents, scripts, or other automation. Automated access must respect role and scope restrictions, applicable law, recipient consent, provider policies, and reasonable rate limits. We may revoke credentials or restrict automation that threatens security, privacy, reliability, or other users.

8. Healthcare and emergencies

SeekCal does not provide medical advice, diagnosis, treatment, or crisis services and does not create a provider-patient relationship. Appointment content should be limited to what is reasonably necessary for scheduling. Clinical services provided by S.E.E.K. Arizona are governed by separate consents, policies, and the applicable Notice of Privacy Practices.

9. Acceptable use

You may not:

• Use SeekCal unlawfully, deceptively, or without necessary authorization or consent.
• Send spam, unlawful marketing, harassment, threats, or messages that violate carrier or provider rules.
• Access another person’s account, calendar, contact, workspace, or connected service without permission.
• Expose credentials, bypass access controls, probe for vulnerabilities, introduce malware, or disrupt the service.
• Scrape, resell, sublicense, reverse engineer, or use the service to build a competing product except where law expressly permits.
• Upload unnecessary highly sensitive information or use public event titles or links to expose confidential information.
• Use Google user data for advertising, surveillance, sale, or general-purpose AI model training.

10. Customer data and privacy

As between you and SeekCal, you or your organization retain rights in information submitted to or synchronized with the service (“Customer Data”). You grant us a limited right to host, process, transmit, and display Customer Data as necessary to operate, secure, support, and improve the requested service and to comply with law.

You are responsible for providing required privacy notices, obtaining permissions and communication consents, limiting user access, and ensuring Customer Data is lawful and accurate. Our handling of personal information is described in the Privacy Policy. Google user data is additionally handled under Google’s Limited Use requirements.

11. Ownership

SeekCal, including its software, interfaces, documentation, designs, and trademarks, is owned by S.E.E.K. Arizona or its licensors and is protected by law. Subject to these Terms, we grant you a limited, nonexclusive, nontransferable, revocable right to use SeekCal for its intended purpose.

If you provide feedback, you permit us to use it without restriction or compensation, provided we do not identify you publicly without permission.

12. Availability and changes

We work to keep appointments, synchronization, and notifications accurate, but no connected scheduling system is infallible. Network failures, stale provider data, invalid permissions, provider outages, time-zone settings, conflicting edits, or delivery filtering can cause delays or discrepancies. Users should verify critical appointments and should not rely on a single automated notification for time-sensitive care.

We may maintain, modify, add, or remove features and may establish reasonable usage limits. We will provide notice when required for a material change.

13. Suspension and termination

You may stop using SeekCal and disconnect integrations at any time. Workspace owners may disable or remove workspace users. We may suspend or terminate access when reasonably necessary to protect the service or another person, respond to legal requirements, address nonpayment under a separate agreement, or remedy a material violation of these Terms.

Sections that by their nature should survive termination—including ownership, disclaimers, liability limits, indemnification, and governing law—will survive.

14. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEEKCAL IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE SERVICE, THIRD-PARTY INTEGRATIONS, SYNCHRONIZATION, AVAILABILITY RESULTS, MEETING LINKS, OR MESSAGE DELIVERY WILL ALWAYS BE ACCURATE, COMPLETE, SECURE, UNINTERRUPTED, OR ERROR-FREE.

Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, S.E.E.K. ARIZONA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM SEEKCAL.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO SEEKCAL WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID SPECIFICALLY FOR SEEKCAL DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100. This limit does not apply where liability cannot lawfully be limited.

16. Indemnification

To the extent permitted by law, an organization using SeekCal will defend and indemnify S.E.E.K. Arizona from third-party claims arising from that organization’s Customer Data, unlawful communications, misuse of the service, violation of these Terms, or violation of another person’s rights. This obligation does not apply to the extent a claim results from our own unlawful conduct.

17. Governing law

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. Unless applicable law requires otherwise, the state and federal courts located in Maricopa County, Arizona will have exclusive jurisdiction over disputes relating to these Terms or SeekCal.

If any provision is unenforceable, it will be modified only as necessary and the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver. These Terms, the Privacy Policy, and any applicable written service agreement constitute the agreement concerning SeekCal; a signed service agreement controls if it expressly conflicts with these Terms.

18. Changes to these terms

We may update these Terms. We will post the revised version and effective date here and provide additional notice when required. Continuing to use SeekCal after revised Terms take effect constitutes acceptance, except where applicable law requires another form of consent.
